Scene:<\/strong> A cozy caf\u00e9 in Lower Parel. Radha and Krishna have decided to run their new design studio as a Limited Liability Partnership instead of a sole proprietorship. They\u2019ve invited Meera, their chartered accountant, to walk them through the process<\/p>\n\n\n\n

Radha (excited):<\/strong> Krishna, I ran the numbers. An LLP gives us personal liability protection and lower compliance than a Pvt Ltd. Let\u2019s go for it.
Krishna (nodding):<\/strong> Agreed. But I have zero idea how to actually set one up. Meera, thanks for joining\u2014will you guide us?
Meera (smiling):<\/strong> Of course. Forming an LLP in India involves five main steps. By the end of our chat, you\u2019ll know exactly what to do.<\/p>\n\n\n\n

1. Choosing Partners and LLP Name <\/h3>\n\n\n\n

Meera:<\/strong> First, decide who your partners are. An LLP needs minimum two partners<\/strong>\u2014both of you qualify. Then pick a unique name\u2014no clashes with existing LLPs or companies. You can check name availability on the Ministry of Corporate Affairs (MCA) portal.
Radha:<\/strong> We brainstormed \u201cRadKri Designs\u201d and \u201cUrban Canvas.\u201d How do we lock in the name?
Meera:<\/strong> File an LLP Name Reservation (Form 1)<\/strong> on MCA. Once approved, it\u2019s valid for 3 months. Cost is nominal\u2014around \u20b9200 in government fees.<\/p>\n\n\n\n

2. Obtaining Digital Signatures and DIN<\/h3>\n\n\n\n

Krishna:<\/strong> I heard we need digital signatures. Why?
Meera:<\/strong> All forms are filed online, so every partner and designated partner needs a Digital Signature Certificate (DSC)<\/strong>. It ensures authenticity. Cost for each DSC is roughly \u20b91,000 for one year.
Meera (cont\u2019d):<\/strong> Next, apply for Designated Partner Identification Number (DPIN)<\/strong> or Director Identification Number (DIN)<\/strong> for each designated partner by filing Form 3<\/strong>. You pay another small fee per partner.<\/p>\n\n\n\n

3. Drafting the LLP Agreement <\/h3>\n\n\n\n

Radha:<\/strong> What about the agreement?<\/p>\n\n\n\n

Meera:<\/strong> Critical. The LLP Agreement<\/strong> defines profit share, voting rights, decision-making, admission\/exit of partners, and dispute resolution. Though MCA doesn\u2019t enforce a template, you should hire a CA or lawyer to draft it professionally.
Cost: ~\u20b95,000\u2013\u20b910,000 for a standard agreement, depending on complexity.<\/p>\n\n\n\n

4. Filing Incorporation Forms<\/h3>\n\n\n\n

Meera:<\/strong> Now with DSC, DPIN, and the reserved name, you file Form 2 (Incorporation)<\/strong> along with the LLP Agreement and proof of registered office (utility bill + rent agreement).
MCA processes it in 7\u201310 days if documents are in order.
Krishna:<\/strong> What\u2019s the total government fee?
Meera:<\/strong> Based on your LLP\u2019s capital contribution:<\/p>\n\n\n\n

  • Up to \u20b91 lakh: ~\u20b9500<\/li>\n\n\n\n
  • \u20b91 lakh\u2013\u20b910 lakhs: ~\u20b92,000<\/li>\n\n\n\n
  • Use the MCA fee calculator for exact numbers.<\/li>\n<\/ul>\n\n\n\n

    5. Post-Incorporation Compliance <\/h3>\n\n\n\n

    Radha:<\/strong> Once we get the Certificate of Incorporation, are we done?<\/p>\n\n\n\n

    Meera:<\/strong> Almost. Within 30 days<\/strong>, you must:<\/p>\n\n\n\n

    1. File Form 4<\/strong> to appoint\/designate partners (if not done earlier).<\/li>\n\n\n\n
    2. File Form 3<\/strong> if any partner details change.<\/li>\n\n\n\n
    3. File an LLP Agreement (Form 3)<\/strong> if it wasn\u2019t uploaded at incorporation.
      After that, every year you file:<\/li>\n\n\n\n
    4. Form 11<\/strong> (Annual Return) by 30 May.<\/li>\n\n\n\n
    5. Form 8<\/strong> (Statement of Accounts & Solvency) by 30 October.<\/li>\n<\/ol>\n\n\n\n
