They\u2019ve invited Meera, their chartered accountant, to walk them through the process<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Radha (excited):<\/strong> Krishna, I ran the numbers. An LLP gives us personal liability protection and lower compliance than a Pvt Ltd. Let\u2019s go for it.<br><strong>Krishna (nodding):<\/strong> Agreed. By the end of our chat, you\u2019ll know exactly what to do.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">1. Choosing Partners and LLP Name <\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Meera:<\/strong> First, decide who your partners are. An LLP needs <strong>minimum two partners<\/strong>\u2014both of you qualify. Then pick a unique name\u2014no clashes with existing LLPs or companies. You can check name availability on the Ministry of Corporate Affairs (MCA) portal.<br><strong>Radha:<\/strong> We brainstormed \u201cRadKri Designs\u201d and \u201cUrban Canvas.\u201d How do we lock in the name?<br><strong>Meera:<\/strong> File an <strong>LLP Name Reservation (Form 1)<\/strong> on MCA. Once approved, it\u2019s valid for 3 months. Cost is nominal\u2014around \u20b9200 in government fees.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">2. Obtaining Digital Signatures and DIN<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Krishna:<\/strong> I heard we need digital signatures. Why?<br><strong>Meera:<\/strong> All forms are filed online, so every partner and designated partner needs a <strong>Digital Signature Certificate (DSC)<\/strong>. It ensures authenticity. Cost for each DSC is roughly \u20b91,000 for one year.<br><strong>Meera (cont\u2019d):<\/strong> Next, apply for <strong>Designated Partner Identification Number (DPIN)<\/strong> or <strong>Director Identification Number (DIN)<\/strong> for each designated partner by filing <strong>Form 3<\/strong>. You pay another small fee per partner.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">3. Drafting the LLP Agreement <\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Radha:<\/strong> What about the agreement?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Meera:<\/strong> Critical. The <strong>LLP Agreement<\/strong> defines profit share, voting rights, decision-making, admission\/exit of partners, and dispute resolution. Though MCA doesn\u2019t enforce a template, you should hire a CA or lawyer to draft it professionally.<br>Cost: ~\u20b95,000\u2013\u20b910,000 for a standard agreement, depending on complexity.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">4. Filing Incorporation Forms<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Meera:<\/strong> Now with DSC, DPIN, and the reserved name, you file <strong>Form 2 (Incorporation)<\/strong> along with the LLP Agreement and proof of registered office (utility bill + rent agreement).<br>MCA processes it in 7\u201310 days if documents are in order.<br><strong>Krishna:<\/strong> What\u2019s the total government fee?<br><strong>Meera:<\/strong> Based on your LLP\u2019s capital contribution:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Up to \u20b91 lakh: ~\u20b9500<\/li>\n\n\n\n<li>\u20b91 lakh\u2013\u20b910 lakhs: ~\u20b92,000<\/li>\n\n\n\n<li>Use the MCA fee calculator for exact numbers.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">5. Post-Incorporation Compliance <\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Radha:<\/strong> Once we get the Certificate of Incorporation, are we done?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Meera:<\/strong> Almost.
